TERMS OF SERVICE

These Terms of Service ("Terms") establish the legal agreement between you and Grizzly Agency ("Company," "we," "us," "our") regarding your use of our website, ga-site-gamma.vercel.app (the "Site"), and the digital marketing services we provide (the "Services"). By accessing or using our Site and Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services.

ACCEPTANCE OF TERMS

By accessing, browsing, or using our Site and Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We reserve the right to update these Terms at any time. Your continued use of the Site and Services following any changes constitutes your acceptance of the revised Terms.

SERVICES

Grizzly Agency provides digital marketing services including, but not limited to:

• Search Engine Optimization (SEO)
• Web Design and Development
• Google Ads Management
• Social Media Marketing
• Other digital marketing consulting and strategy services

The specific scope of Services will be outlined in a separate service agreement or proposal. All Services are provided on an as-is basis according to the terms agreed upon by both parties.

CLIENT RESPONSIBILITIES

As our client, you agree to:

• Provide accurate and complete information necessary to deliver Services
• Timely provide access to your accounts, website, and assets when required
• Respond promptly to requests for feedback, approval, and direction
• Ensure all content you provide does not infringe on intellectual property rights
• Comply with all applicable laws and regulations related to your business

PAYMENT TERMS

Unless otherwise specified in a signed service agreement:

• Invoices are due within 30 days of the invoice date
• Late payments may incur a 1.5% monthly interest charge
• We reserve the right to suspend Services for overdue accounts
• All fees are exclusive of applicable taxes unless otherwise stated

Payment terms, pricing, and project-specific conditions will be outlined in your individual service agreement or project proposal.

INTELLECTUAL PROPERTY

You retain ownership of all content and materials you provide to us. Upon full payment, you receive ownership of custom work created specifically for your project, including website designs, custom code, and marketing materials we create for you.

Grizzly Agency retains ownership of its pre-existing templates, tools, methodologies, processes, and any general concepts or ideas developed during our engagement that are not custom-created specifically for your project. You agree not to reproduce, redistribute, or use our proprietary materials outside the scope of the Services without explicit written permission.

LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not responsible for third-party services, platforms, or tools beyond our control
• Results are not guaranteed; marketing outcomes depend on many factors beyond our direct control

TERMINATION

Either party may terminate a service engagement with written notice as specified in the service agreement. Upon termination:

• You remain responsible for payment of Services rendered through the termination date
• We will transfer ownership of custom-created deliverables upon receipt of final payment
• We may remove access to accounts and services we manage on your behalf
• Confidentiality obligations survive termination

GOVERNING LAW

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts located in Alberta for any disputes arising from these Terms or the Services.

DISPUTE RESOLUTION

In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation before pursuing legal action. If negotiation fails, the parties may pursue mediation or arbitration as agreed upon in writing.

ADDITIONAL TERMS

No Warranty: Our Services and Site are provided "as is" without warranties of any kind, express or implied. We do not warrant that Services will be error-free or uninterrupted.

Your Use: You agree not to use our Site or Services for any illegal, harmful, or unauthorized purpose. You are prohibited from harassing, threatening, or defaming others through our Services.

Indemnification: You agree to indemnify, defend, and hold harmless Grizzly Agency, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of Services or violation of these Terms.
